{"id":43143,"date":"2026-07-22T15:57:41","date_gmt":"2026-07-22T12:57:41","guid":{"rendered":"https:\/\/ugmirror.com\/?p=43143"},"modified":"2026-07-22T15:57:45","modified_gmt":"2026-07-22T12:57:45","slug":"stanbic-bank-humiliated-as-high-court-throws-out-bid-to-auction-property-over-shs90m-loan","status":"publish","type":"post","link":"https:\/\/ugmirror.com\/index.php\/2026\/07\/22\/stanbic-bank-humiliated-as-high-court-throws-out-bid-to-auction-property-over-shs90m-loan\/","title":{"rendered":"Stanbic Bank Humiliated As High Court Throws Out Bid To Auction Property Over Shs90m Loan"},"content":{"rendered":"\n<p class=\"wp-block-paragraph\">Stanbic Bank Uganda Limited has suffered a significant legal setback after the High Court in Arua dismissed its attempt to foreclose on and sell mortgaged property belonging to a company director over a defaulted Shs90 million business loan, ruling that the dispute was too contentious to be determined through the simplified court procedure the bank had chosen.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">In a judgment delivered on July 21, 2026, Justice Harriet Grace Magala threw out the bank&#8217;s originating summons and ordered Stanbic Bank to pay the defendants&#8217; legal costs, holding that fundamental disputes over the validity of the mortgage, the identity of the borrower&#8217;s spouse, the existence of valid spousal consent, and whether statutory notices were properly served could only be resolved through a full trial involving witnesses and cross-examination.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Although the dismissal temporarily shields the property from auction, the court left the door open for Stanbic Bank to file a fresh ordinary suit, provided it complies with the applicable limitation laws.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Loan turns into legal battle<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The dispute arose after Capital Commodities and Beverages Co. Ltd secured a business term loan of Shs90 million from Stanbic Bank.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The facility was secured using land located on Plot 829, Hahua Block 1, Ayivu County in Arua, which is registered in the name of the company&#8217;s director, Adia Godfrey. Besides mortgaging his property, Adia also executed a personal guarantee committing himself to repay the bank if the company defaulted.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">According to the bank, the borrower fell into default despite repeated demand notices issued in July and October 2023.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Stanbic said it later served a notice of sale in December 2024 before advertising the property in the <em>Daily Monitor<\/em> newspaper in January 2024.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">However, the bank complained that every attempt to realize its security failed because Adia remained in occupation of the property and allegedly denied valuers and prospective buyers access.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">By September 4, 2025, the bank claimed the outstanding debt had reduced from the original Shs90 million to approximately Shs62.68 million, excluding continuing interest and charges.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The bank therefore asked court to authorize foreclosure, evict the defendants and permit the sale of the land to recover the outstanding debt.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Borrowers challenge the mortgage itself<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Rather than merely disputing the debt, the defendants attacked the legal foundation upon which the mortgage was created.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Adia argued that the land was matrimonial property and that Stanbic Bank failed to obtain lawful consent from his wife before registering the mortgage.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">He further alleged that the bank failed to obtain the necessary power of attorney required for the transaction, neglected mandatory legal requirements under the Mortgage Act and Registration of Titles Act, and rushed to court before exhausting the procedures provided under mortgage law.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The defendants also maintained that the company had been making repayments and remained willing to clear the outstanding balance, accusing the bank of exaggerating the indebtedness.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Preliminary objections fail\u2014but reveal deeper problems<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Justice Magala first addressed the defendants&#8217; preliminary objections challenging the mortgage&#8217;s legality.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">While rejecting the objections as improper preliminary points of law, the judge observed that the issues raised were not simple legal questions but disputed matters of fact requiring evidence.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">One major dispute concerned whether the bank had obtained a valid power of attorney.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The court noted that no power of attorney had been placed on the court record, making it impossible to determine the issue without hearing evidence from both sides.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">An even bigger controversy surrounded the issue of spousal consent.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The defendants insisted that Adia&#8217;s lawful wife was Letasi Winnie, whose consent had never been obtained before mortgaging the matrimonial home.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Stanbic Bank, however, produced documents allegedly signed by Maturu Gloria, claiming she was the spouse who had consented to the mortgage and had also signed statutory declarations.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Justice Magala observed that the court was faced with two completely different individuals being presented as the borrower&#8217;s spouse.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Resolving that contradiction, she ruled, required witnesses to testify under oath and be subjected to cross-examination.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">&#8220;It is a contentious matter,&#8221; the judge essentially concluded, one that could not be disposed of through affidavit evidence alone.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Court questions the bank&#8217;s procedure<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The decisive issue in the case was not whether the debt existed but whether Stanbic had chosen the correct legal procedure.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The bank had instituted the matter through an originating summons\u2014a simplified court process traditionally reserved for straightforward and uncontested matters such as mortgage foreclosures.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Justice Magala acknowledged that Ugandan law ordinarily allows mortgagees to commence foreclosure proceedings using originating summons.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">However, she emphasized that once serious factual disputes emerge, that procedure becomes inappropriate.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The court cited previous judicial authorities holding that originating summons are intended only for simple matters that can be resolved without hearing oral testimony.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">In this dispute, the judge found several critical factual controversies that could not be resolved on affidavit evidence.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Besides the disagreement over the borrower&#8217;s spouse, there was also a dispute regarding service of statutory notices.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Stanbic maintained that all default notices had been dispatched through the postal service.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The court held that merely asserting postal service was insufficient.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The bank would have to prove when such notices became legally effective and whether postal delivery was actually an agreed mode of service under the mortgage deed.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Those questions, the judge ruled, demanded documentary evidence and witness testimony.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Why the case collapsed<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Justice Magala ultimately concluded that the bank&#8217;s entire case had been brought using the wrong procedural vehicle.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Because the dispute involved contested facts touching on the validity of the mortgage itself, the court held that it could not determine the matter fairly through an originating summons.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Instead, the issues required a conventional civil trial where witnesses could testify, documents could be challenged, and the credibility of competing evidence could be tested.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Without such a process, the judge said, the court could not safely determine whether valid spousal consent existed or whether the mandatory statutory notices had actually been served.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The originating summons was therefore dismissed in its entirety.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Defendants awarded costs<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">In another blow to Stanbic Bank, the court ordered the bank to pay the legal costs incurred by the defendants.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Although costs are generally awarded to the successful party, such orders can become significant in commercial litigation where legal expenses often run into millions of shillings.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">More importantly, the dismissal means the bank must effectively start the recovery process afresh if it still intends to pursue the outstanding debt through court.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The judgment expressly allows Stanbic to institute an ordinary civil suit before a competent court, provided the claim remains within the applicable limitation period.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Wider implications for lenders<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The ruling serves as an important reminder to financial institutions that mortgage recovery is not merely about proving default.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Banks must also be prepared to demonstrate strict compliance with statutory safeguards designed to protect borrowers, especially where matrimonial property is involved.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Questions surrounding valid spousal consent have increasingly become a recurring feature in mortgage litigation across Uganda.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Where the identity of the consenting spouse is disputed, courts are unlikely to rely solely on documents annexed to affidavits.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Similarly, lenders seeking to rely on postal service of statutory notices may now face closer judicial scrutiny regarding proof of delivery and compliance with contractual terms.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For borrowers, the judgment reinforces that allegations touching on the legality of mortgage creation, service of statutory notices and compliance with the Mortgage Act can fundamentally alter foreclosure proceedings where credible disputes of fact arise.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">While Stanbic Bank has not lost its right to pursue recovery of the outstanding loan, the decision means it cannot shortcut complex factual disputes through summary proceedings.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Instead, the bank must now return to court through a full civil trial if it still wishes to realize its security\u2014a process likely to be longer, more expensive and subject to much closer examination of every document
